Terms and Conditions

GENERAL TERMS
Overview
1. Binding Contract. These Terms create a binding legal contract between you and Diagon. By accessing, viewing, or availing yourself of the Site in any manner (including by registering to purchase OEM Equipment), you certify that you have read, understand, and agree to be legally bound by these Terms. The Site is only available to users at least 18 years of age.
2. Authorized Representative. If registering or using the Site on behalf of a company, you represent and warrant that you are the Company's authorized representative with authority to bind it to these Terms.
3. Purpose of Site. Materials on the Site are for general informational purposes only. Diagon has endeavored to make the Site useful, but it may contain errors and omissions. The Site includes materials from third-party sources that Diagon may not have evaluated. Diagon makes no assurances regarding accuracy, completeness, timeliness, or reliability.
4. Modifications. Diagon may revise these Terms at any time. Continued use following changes constitutes consent to those changes. Users should periodically review this page.
Access
Subject to full compliance with these Terms, Diagon grants permission to access and use the Site as provided, consistent with intended features. Users may not: (i) reproduce, modify, publicly display, or distribute any part of the Site or Contents, or (ii) engage in prohibited uses described below.
Accounts
1. Account Information. To access some features, users must create an account. Information provided must be truthful, accurate, timely, and complete, and remain accurate and up-to-date.
2. Access Credentials. Registered users receive login credentials (username and password) that are personal and may not be shared. Users are responsible for maintaining confidentiality and all account activity. Users must notify Diagon immediately at privacy@diagon.ai if credentials are compromised.
Prohibited Uses
1. Restrictions. Users agree not to use the Site for unlawful purposes or in ways that harm others. Specifically, users will not:
- Copy, sell, trade, resell, distribute, or exploit any part of the Site or Site Content, except for internal evaluation or purchase purposes
- Access the Site for comparative or competitive research
- Remove, circumvent, disable, damage, or interfere with security features
- Use manual or automated means to extract content for commercial purposes
- Create false identities or impersonate others
- Transmit harmful software (viruses, Trojan horses, worms, time bombs, etc.)
- Use the Site in ways that interfere with or disrupt it, networks, or connected servers
2. Suspension. Diagon may suspend or limit access at any time without notice for breaches, legal violations, or other reasons.
User Content
1. License. The Site allows users to upload information including photographs, drawings, renderings, schematics, specifications, and documentation. Users grant Diagon a "non-exclusive, worldwide, transferable, and sublicensable right to use, copy, modify, distribute, publish, and process such User Content" without further consent or compensation. Users represent and warrant ownership of all rights in the content.
2. Restrictions. Users will not post:
- Material that is false, defamatory, inaccurate, libelous, abusive, vulgar, hateful, racist, bigoted, sexist, harassing, threatening, inflammatory, obscene, profane, or sexually-oriented
- Material violating others' rights (privacy, publicity, copyright, trademark, intellectual property)
- Material breaching privacy (phone numbers, addresses, personal information)
- Advertisements, commercial solicitations, spam, or unrelated material
- Material discussing illegal activities or linking to such websites
3. Monitoring. Diagon may monitor the Site to ensure compliance with laws, respond to court orders, enforce Terms, or protect rights and safety. Diagon reserves the right to remove User Content and deny access for violations at any time without notice.
4. Assumption of Risk. Users assume total responsibility for User Content and interactive areas. User Content represents the author's views, not Diagon's. Users use such content at their own risk. Diagon takes no responsibility for uploaded or published content.
Links
The Site may contain links to third-party websites, features, or services. Diagon does not endorse them and is not responsible for content, accuracy, or quality. Users use linked content at their own risk, subject to third-party terms and privacy policies.
Intellectual Property
1. Ownership. The Site is owned and operated by Diagon. Visual interfaces, graphics, listing information, design, compilation, information, code, products, software, and services are protected by copyright, trade dress, patent, and trademark laws. Nothing herein grants rights under any intellectual property or ownership in Site Content. Unauthorized reproduction or distribution is prohibited.
2. Feedback. Users may provide suggestions, recommendations, and feedback about the Site or Diagon's products. Diagon receives a "royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate any of your Feedback" without compensation. Diagon is not obligated to implement feedback.
DISCLAIMERS
The Site (including, without limitation, Site Content, or any other services, products, or information provided by Diagon), and any other software, services, applications, or content made available in conjunction with or through the Site (including User Content and Linked Content), are provided on an "as is", "as available", "with all faults" basis without representations or warranties of any kind, either express, implied, or statutory, including, any warranty of merchantability, fitness for a particular purpose, title, non-infringement, or arising from a course of dealing, concerning the Site or product, services, or content made available through the Site or the accuracy, reliability, timeliness, or completeness thereof.
LIMITATION OF LIABILITY
In no event will Diagon, its officers, directors, employees, or agents be liable to any party for any direct, indirect, special, or other consequential damages arising out of or in connection with (i) your use of the Site or Site Content; (ii) the use or access of or inability to use or access the Site or any Site Content; (iii) User Content or Linked Content; or (iv) choices made based on information acquired through the Site (v) and any accidents or unexpected events otherwise, whether based in tort, contract or other legal theory, even if Diagon is expressly advised of the possibility of such damages. In no event will Diagon, its officers, or directors be liable in the aggregate for any damages over $1,000.
FAIR ALLOCATION OF RISK
Applicable law may not allow for the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such cases, you agree that because such warranty disclaimers and limitations of liability reflect a reasonable and fair allocation of risk between you and Diagon, and are fundamental elements of the basis of the bargain between you and Diagon, Diagon's liability will be limited to the maximum extent permitted by law.
Indemnification
Users will defend, indemnify, and hold harmless Diagon from judgments, liabilities, losses, settlements, damages, expenses, and costs (including attorneys' fees) arising from claims related to Site use, breach of Terms, or gross negligence, fraud, or intentional misconduct.
Complaint Procedures
Those believing Site content violates their intellectual property or other rights should send comprehensive details to complaints@diagon.ai including: (a) name and company; (b) contact information; (c) complaint nature, substance, specific rights at issue, and basis; and (d) a statement certifying the information's truth and accuracy.
Miscellaneous
1. General Compliance. Users comply with all applicable laws, rules, regulations, and Terms.
2. Governing Law. The Site, Terms, and the relationship are governed by California law without regard to choice of law rules. Disputes shall be brought only in Superior Court of San Francisco or United States District Court for the Northern District of California.
3. Merger. These Terms between you and Diagon supersede all previous communications, representations, understandings, and agreements.
4. Severability. If any provision is held unenforceable, it is deemed severed, and remaining provisions remain in full force.
5. No Waiver. Diagon's failure to enforce any provision is not a waiver of prior or future performance.
6. No Agency Relationship. No joint venture, partnership, employment, or agency relationship exists.
7. No Other Relationship. Submitting User Content creates no confidential, fiduciary, or other relationship beyond these Terms.
8. No Assignment. Terms and granted rights may not be transferred by users but may be assigned by Diagon without restriction.
DIAGON MARKETPLACE TERMS
These terms apply to the Diagon Marketplace feature. In case of conflict with General Terms, Marketplace Terms govern.
Equipment Listings
1. Listings. The Marketplace contains listings of OEM Equipment offered by non-affiliated OEM Suppliers. Diagon offers all Equipment as an agent for the applicable Supplier, not on Diagon's behalf. Diagon has no liability for any Supplier act, omission, default, or failure.
2. Pricing. Listed pricing is for hardware only and does not include installation, warranty, shipping, or other services. Diagon may provide Value-Added Services separately.
3. Offers. All OEM Equipment sales are consummated via separate written contract between the user and Supplier (or Diagon as agent). Clicking "Make an Offer" initiates contact from a Diagon agent. Nothing creates binding commitment to consummate transactions.
4. Diagon Rights. Diagon reserves the right to: (a) remove listings anytime; (b) reject or refuse offers; (c) revoke permission to make offers; (d) terminate accounts or negotiations if it determines it cannot complete transactions. Diagon has no liability for exercising these rights or for errors or failure to respond.
5. Descriptions of OEM Equipment. Written descriptions, oral descriptions from Diagon personnel, bills of sale, invoices, or statements are statements of opinion, not fact. They do not create representations or warranties. Users expressly acknowledge not relying on such descriptions.
6. Inspection. Diagon assumes no obligation to inspect Equipment before listing or sale. Users are solely responsible for inspection and due diligence, including assessing condition, title, value, quality, authenticity, description, provenance, fitness for needs, legal compliance, and identifying repairs or replacement parts.
DISCLAIMERS
Neither Diagon nor the Seller shall have any liability or responsibility for any errors, omissions and/or inaccuracies in any description, statements, documents or materials, including in any published materials, regardless of when made. You acknowledge and agree that you are not entitled to rely and you agree not to rely, upon any of such oral or written descriptions, statements, information, or materials of any kind for any purpose.
Value-Added Services
Diagon may provide additional value-added services related to OEM Equipment, such as shipping, logistics, equipment financing, and extended warranties. Such services are purchased under separate written contract.
Compliance with Law
1. General. By using or registering for the Marketplace or making offers, users represent and warrant compliance with all applicable laws, rules, and regulations. Users further represent, warrant, and covenant:
- Not subject to economic sanctions and export controls (OFAC, BIS, UN, EU, UK OFSI, ECJU)
- Not owned, partially owned, or controlled by sanctioned individuals or entities
- Not charged with or convicted of money laundering, terrorism, or other crimes
- Funds are not connected with criminal activity
- Funds are not transferred from or involved with sanctioned financial institutions
- Equipment is not transferred to or used in jurisdictions in contravention of sanctions
- Equipment is not purchased for or used in ways connected to breaching tax, money-laundering, or anti-terrorism laws
2. Assistance. Users agree to provide all information and assistance reasonably requested to comply with Anti-Money Laundering processes and laws.
3. Third-Party Purchases. If purchasing on behalf of another party, users represent conducting sufficient due diligence to verify compliance. Users are fully responsible for the third party's acts and omissions, and any breaches by the third party are deemed breaches by the user.
Attorneys' Fees
1. Enforcement Costs. If Diagon engages counsel to enforce any Terms provision, users shall be responsible for all reasonable fees, costs, and expenses incurred.
2. Fees and Costs. If proceedings (including arbitration) relate to or arise from the Terms or offers, the prevailing party recovers reasonable attorneys' fees, costs, and expenses; provided users cannot recover unless they first presented the claim to Diagon and allowed reasonable opportunity to mediate before initiating legal action.
BINDING ARBITRATION
Users agree any dispute or controversy arising from Marketplace use or OEM Equipment offers shall be determined by arbitration in San Francisco, California before one arbitrator, administered by JAMS under its Comprehensive or Streamlined Arbitration Rules. JAMS solely determines scope or applicability. Judgment may be entered in any court with jurisdiction. If parties seek relief outside JAMS (federal or state court), the complaining party pays all costs, fees, and expenses. Each party pays proportionate arbitrator fees and expenses, including attorneys' fees, subject to the Attorneys' Fees section. Users waive jury trial and appeal rights. If either party files claims against shareholders, employees, officers, directors, members, managers, representatives, principals, or agents, such claims are also subject to binding arbitration. By using the Marketplace or making offers, users submit to jurisdiction of California state and federal courts.
